Map Metra is a product and trading name operated by Arasep Projects Pty Ltd (Arasep, we, us or our). Your agreement for access to and use of Map Metra is solely with Arasep Projects Pty Ltd. Map Metra is not a separate legal entity.
No director, shareholder, employee, officer, consultant or contractor of Arasep enters into this agreement in a personal capacity or assumes personal liability to you merely because they helped develop, market, support or deliver the Service.
By creating an account, starting a trial, purchasing a subscription, clicking an acceptance button or using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm that you have authority to bind that organisation.
You must be at least 18 years old and legally capable of entering into a binding agreement. The Service is intended primarily for business and professional construction use.
You must provide accurate account information, keep login credentials confidential and promptly notify us of suspected unauthorised access. You are responsible for activity carried out through your account except to the extent caused by our breach of law or failure to take reasonable security measures.
Team accounts may only be used by the number of authorised users included in the selected subscription. Accounts and login credentials must not be shared with unauthorised persons.
Eligible new customers may receive a 7-day free trial. Unless cancelled before the trial ends, the selected monthly subscription will begin and the nominated payment method will be charged.
Subscriptions renew monthly until cancelled. You may cancel through your account before the next renewal date. Cancellation takes effect at the end of the current paid billing period. Fees already paid are non-refundable except where required by law.
Prices are displayed in Australian dollars unless stated otherwise. Applicable taxes, bank charges and currency conversion fees may be added or charged by the relevant provider. We will give reasonable advance notice of material price changes, and you may cancel before the changed price takes effect.
Subject to payment and compliance with these Terms, Arasep grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service for your internal business purposes during your subscription.
You must not copy, resell, sublicense, reverse engineer, scrape, interfere with, circumvent security controls, use the Service to build a competing product, or access it in a manner that exceeds documented limits, except where a restriction is prohibited by law.
Map Metra is a productivity tool. It does not provide surveying, engineering, architectural, building certification, legal, tax, accounting, quantity surveying or other professional advice.
Aerial imagery, map boundaries, scales, drawings, dimensions, quantities, rates, calculations and estimates may be incomplete, outdated or inaccurate because of source data, scale selection, user input, software limitations or third-party services.
You must independently verify all critical dimensions, site conditions, drawing revisions, quantities, rates, taxes, contractual requirements, standards, approvals and regulatory obligations before relying on or issuing any estimate, tender, scope, order or construction document.
The Service must not be used as the sole basis for safety-critical decisions, cadastral boundaries, regulated design, structural design, certification, legal compliance or final construction set-out. You remain responsible for professional review and all commercial decisions made using outputs from the Service.
You retain ownership of drawings, project information, rates, estimates and other content you upload or create. You grant Arasep a limited licence to host, copy, process, transmit and display that content only as reasonably necessary to provide, secure, support and improve the Service.
You confirm that you have all rights and permissions needed to upload and use your content. You are responsible for maintaining your own copies of important project records and exporting required data before your subscription ends.
We may create aggregated or de-identified analytics that do not reasonably identify you or your clients and use those analytics to operate and improve the Service.
The Service may rely on or link to third-party mapping, imagery, payment, cloud hosting, authentication, export and communication services. Third-party services may change, become unavailable or impose their own terms.
To the extent permitted by law, Arasep is not responsible for third-party content, imagery dates, boundary information, outages, acts or omissions that are outside Arasep's reasonable control.
We aim to keep the Service available but do not promise uninterrupted, error-free or fully secure operation. Maintenance, updates, internet failures, third-party outages, cyber incidents and events outside our reasonable control may affect access.
We may make reasonable changes to features, interfaces and technical requirements to maintain security, comply with law, improve the Service or replace unavailable third-party components. If a change materially reduces the core paid Service, we will give reasonable notice where practicable and allow you to cancel before the change takes effect.
Arasep and its licensors own all rights in the Map Metra software, branding, interface, documentation, templates, workflows and underlying technology, excluding customer content.
Feedback and suggestions may be used by Arasep without restriction or payment, provided they do not disclose your confidential information.
You must not use the Service unlawfully, fraudulently, to infringe another person's rights, to upload malicious code, to gain unauthorised access, to disrupt other users, or to process information you are not authorised to use.
We may investigate suspected misuse and may suspend access where reasonably necessary to protect the Service, other users or third parties. Where practical, we will give notice and an opportunity to remedy the issue.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.
Where the Australian Consumer Law permits liability for a failure to comply with a consumer guarantee relating to services to be limited, and it is fair and reasonable to do so, Arasep's liability is limited at its option to supplying the affected services again or paying the reasonable cost of having those services supplied again.
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary or consequential loss, or for loss of profit, revenue, opportunity, anticipated savings, goodwill or data, arising from or connected with the Service.
This exclusion does not apply to liability that cannot legally be excluded, or to loss caused by fraud, wilful misconduct, breach of confidentiality, infringement of the other party's intellectual property rights, or a party's indemnity obligations under these Terms.
To the maximum extent permitted by law, Arasep's total aggregate liability arising out of or in connection with the Service and these Terms during any 12-month period is limited to the total subscription fees paid or payable by you to Arasep for the Service during the 12 months immediately before the event giving rise to the claim.
The liability cap does not apply to liability that cannot legally be limited, or to Arasep's fraud or wilful misconduct. Nothing in these Terms makes any director, shareholder, employee, officer, consultant or contractor personally liable for Arasep's contractual obligations.
To the extent permitted by law, you indemnify Arasep against third-party claims, losses and reasonable costs to the extent caused by your unlawful use of the Service, material breach of these Terms, infringement by your content of third-party rights, or use of the Service without required authority.
Your indemnity is reduced to the extent that the claim or loss was caused or contributed to by Arasep's breach, negligence, fraud or wilful misconduct. Arasep must take reasonable steps to mitigate recoverable loss.
You may stop using the Service and cancel your subscription at any time. Arasep may suspend or terminate access for material breach, non-payment, unlawful use, security risk or conduct that threatens the Service or other users.
Except where urgent suspension is reasonably necessary, we will give notice and a reasonable opportunity to remedy a remediable breach. On termination, your licence ends. Provisions intended to survive termination, including payment, intellectual property, disclaimers, liability limits and dispute provisions, continue.
Arasep may collect and process account, billing, usage, device and support information to provide, secure and improve the Service, process payments, communicate with users and comply with law.
Personal information will be handled in accordance with applicable privacy law and Arasep's privacy notice. You must ensure that any personal information uploaded to a project has been collected and disclosed lawfully.
We may update these Terms for legal, security, operational or product reasons. We will give reasonable notice of material changes. If a material change adversely affects you, you may cancel before it takes effect.
Continued use after the effective date of notified changes constitutes acceptance, except where applicable law requires another form of consent.
Before starting court proceedings, each party must first give written notice of the dispute and attempt in good faith to resolve it for at least 20 business days, except where urgent interlocutory relief is required.
These Terms are governed by the laws of New South Wales, Australia. Subject to any non-excludable right to bring proceedings elsewhere, the parties submit to the courts of New South Wales and courts entitled to hear appeals from them.
If any provision is invalid or unenforceable, it is to be read down to the minimum extent necessary or severed, and the remaining provisions continue. A delay in exercising a right is not a waiver.
You may not assign this agreement without Arasep's consent, not to be unreasonably withheld. Arasep may assign it as part of a genuine sale, restructure or transfer of the Map Metra business, provided your material rights are not reduced.
These Terms, the selected subscription details and any expressly incorporated policies form the entire agreement about the Service.
